Terms of Service

1. Introduction

Welcome to ÄRI. These Terms of Service ("Terms") govern your access to and use of the ÄRI platform, including our website, mobile applications, and all related services (collectively, the "Service").

The Service is operated by Äri Operasys OÜ, a company registered in Estonia (Registry Code: 17404032), with its registered office at F. R. Kreutzwaldi 19, Tallinn 10124, Estonia ("Company," "we," "us," or "our").

By creating an account or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age;
  • You have the legal capacity to enter into a binding agreement;
  • You are not prohibited from using the Service under any applicable law;
  • All registration information you submit is truthful and accurate;
  • You will maintain the accuracy of such information throughout your use of the Service.

3. Account Registration

To access certain features of the Service, you must create an account. When you create an account, you agree to:

  • Provide accurate, current, and complete information during registration;
  • Maintain and promptly update your account information to keep it accurate and complete;
  • Maintain the security and confidentiality of your login credentials;
  • Accept responsibility for all activities that occur under your account;
  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate your account if any information provided during registration or thereafter proves to be inaccurate, false, or misleading.

4. Types of Users

ÄRI supports three types of user accounts:

4.1 Professionals (Candidates)

Individuals who create profiles to showcase their skills, experience, and services. Professionals may offer mentorship, consulting, and other professional services through the platform.

4.2 Entrepreneurs

Business-oriented individuals who use the platform to offer services and connect with potential clients or collaborators.

4.3 Companies

Business entities that use the platform to discover and connect with talented professionals for potential opportunities.

5. User Content

You may submit, upload, or display content through the Service, including but not limited to profile information, photos, videos, messages, and service descriptions ("User Content").

5.1 Ownership

You retain ownership of your User Content. However, by submitting User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

5.2 Responsibility

You are solely responsible for your User Content. You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use your User Content;
  • Your User Content does not infringe any third party's intellectual property rights;
  • Your User Content complies with these Terms and our Acceptable Use Policy.

5.3 Language Videos

If you upload videos demonstrating your language proficiency, you acknowledge that these videos may be viewed by other users and potential employers. You are responsible for ensuring you have the right to appear in and share such videos.

6. Services Marketplace

ÄRI provides a platform for users to offer and purchase professional services, including mentorship, consulting, courses, and other offerings.

6.1 Platform Role

ÄRI acts solely as a facilitator and is not a party to any transaction between buyers and sellers. When you purchase or provide a service through ÄRI, you are entering into a direct agreement with the other party.

6.2 Service Transactions

Service providers ("Sellers") are independent contractors and not employees of ÄRI. Buyers and Sellers are responsible for:

  • The terms and conditions of their service agreements;
  • Compliance with all applicable laws and regulations, including tax obligations;
  • The quality and delivery of services;
  • Resolving disputes between themselves.

6.3 No Guarantee

We do not guarantee the quality, accuracy, timeliness, or completion of any services offered through the platform. We are not liable for any damages arising from service transactions.

7. Payments

Payments for services are processed through Stripe, a third-party payment processor. By using our payment features, you also agree to Stripe's terms of service.

Sellers must complete Stripe Connect onboarding to receive payments. We may charge platform fees for facilitating transactions, which will be disclosed before you complete any transaction.

8. Messaging

The Service includes messaging features that allow users to communicate with each other. When using these features:

  • You agree to communicate respectfully and professionally;
  • You will not use messaging for spam, harassment, or illegal purposes;
  • You acknowledge that messages may be monitored for safety and compliance purposes;
  • We may retain message history in accordance with our Privacy Policy.

9. Prohibited Conduct

You agree not to:

  • Violate any applicable laws or regulations;
  • Infringe upon the rights of others, including intellectual property rights;
  • Impersonate any person or entity;
  • Submit false, misleading, or inaccurate information;
  • Engage in harassment, discrimination, or abusive behavior;
  • Attempt to gain unauthorized access to the Service or other users' accounts;
  • Use the Service for any illegal or unauthorized purpose;
  • Interfere with or disrupt the Service or servers;
  • Scrape, collect, or harvest user information without consent;
  • Circumvent any payment obligations or platform fees.

10. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Äri Operasys OÜ and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

"ÄRI," "Äri Operasys," and related logos are trademarks of Äri Operasys OÜ. You may not use these marks without our prior written consent.

11. Third-Party Services

The Service may contain links to or integrate with third-party websites or services that are not owned or controlled by us. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party services.

Your use of third-party services, including Stripe for payments, is subject to those parties' terms and conditions.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ÄRI OPERASYS OÜ, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service;
  • Any conduct or content of any third party on the Service;
  • Any content obtained from the Service;
  • Unauthorized access, use, or alteration of your transmissions or content.

Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us, if any, in the twelve (12) months preceding the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless Äri Operasys OÜ and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party right, including intellectual property rights;
  • Any services you provide or receive through the platform.

15. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by contacting us at contact@ari.com.ee

All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia and the European Union, without regard to conflict of law principles.

16.2 Dispute Resolution for EU Residents

If you are a resident of the European Union, you may submit disputes to the courts of your country of residence. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr

16.3 Dispute Resolution for Non-EU Residents

For users outside the European Union, any dispute arising from or relating to these Terms shall be resolved by:

  • First, through good-faith negotiations between the parties;
  • If negotiations fail, by binding arbitration administered by the Estonian Chamber of Commerce and Industry under its arbitration rules, held in Tallinn, Estonia;
  • The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

17. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.

18. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and any other policies referenced herein, constitute the entire agreement between you and Äri Operasys OÜ regarding your use of the Service.
